These Terms of Service ("Terms") constitute a legally binding agreement between you ("Member," "you," or "your") and Talpro India Private Limited, a company incorporated under the laws of India, with its registered office in Bengaluru, Karnataka (GSTIN: 29AAHCT9485A1ZX), operating the website hcitalks.com ("HCI Talks," "the Platform," "we," "us," or "our").
By accessing or using HCI Talks, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
1. Eligibility
HCI Talks is an invitation-only community designed exclusively for CXO-level and senior leadership professionals. By applying for or accepting membership, you represent and warrant that:
- You currently hold, or have recently held, a C-suite, Vice President, Director, or equivalent senior leadership position at a recognised organisation.
- You are at least 18 years of age and have the legal capacity to enter into these Terms.
- The professional credentials you provide are accurate and verifiable. HCI Talks reserves the right to verify your identity, title, and organisational affiliation through independent means.
- Applications that do not meet our membership criteria may be declined at our sole discretion, without obligation to provide a reason.
2. Account Responsibilities
As a registered member, you agree to:
- Accurate Information: Provide truthful, current, and complete information during registration and keep your profile updated at all times.
- Corporate Email: Register using a valid corporate or professional email address. Personal or disposable email addresses may result in application rejection.
- One Account Per Person: Maintain only one account. Duplicate or shared accounts will be terminated without notice.
- Credential Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- Prompt Notification: Notify us immediately at [email protected] if you suspect unauthorised access to your account.
3. Acceptable Use Policy
You agree not to use HCI Talks to:
- Send unsolicited bulk messages, spam, or promotional material to other members without their prior consent.
- Create or maintain fake, misleading, or impersonated profiles, or misrepresent your identity, title, or organisational affiliation.
- Engage in harassment, discrimination, defamation, or any form of abusive conduct toward other members, speakers, or HCI Talks staff.
- Scrape, data-mine, or use automated tools to extract member data, event content, or any proprietary information from the Platform.
- Upload or distribute malicious software, viruses, or any code designed to disrupt the Platform.
- Violate any applicable local, national, or international law or regulation.
- Use the Platform for recruitment solicitation, headhunting, or commercial sales pitches unless explicitly authorised by HCI Talks.
All members are expected to uphold the highest standards of professional conduct and adhere to Chatham House Rules during roundtable discussions and private circles.
4. Intellectual Property
Platform IP: All content, features, and functionality of HCI Talks — including but not limited to the website design, text, graphics, logos, icons, images, HCI Intel reports, CVPRO assessments, HireIQ analytics, CompeteIQ benchmarks, and underlying software — are the exclusive property of Talpro India Private Limited and are protected by Indian and international copyright, trademark, and intellectual property laws.
User Content Licence: By submitting, posting, or sharing content on HCI Talks (including forum posts, circle discussions, comments, and profile information), you grant Talpro India Private Limited a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, modify, display, and distribute such content in connection with operating and improving the Platform. You retain ownership of your original content.
You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any Platform content without prior written consent from Talpro India Private Limited.
5. Member Content
Members may contribute content through circles, forums, discussions, event interactions, and other collaborative features of the Platform. By contributing content, you acknowledge and agree that:
- You are solely responsible for the content you share, including its accuracy, legality, and appropriateness.
- You will not share confidential or proprietary information belonging to your employer or any third party without proper authorisation.
- HCI Talks does not endorse, verify, or assume liability for any member-generated content.
- We reserve the right to remove, edit, or restrict any content that violates these Terms, our community guidelines, or applicable law — without prior notice.
- Discussions held under Chatham House Rules must not be attributed, quoted, or shared outside the Platform without the express consent of the original contributor.
6. Payments & Transactions
All payments on HCI Talks are processed securely through Razorpay, a RBI-authorised payment aggregator. By making a purchase, you agree to:
- Provide accurate and complete payment information.
- Authorise us to charge the stated amount for your selected product or service.
- All prices are in Indian Rupees (INR) and inclusive of applicable GST.
- Payment confirmation is sent via email upon successful transaction.
Cancellations, refunds, and delivery timelines are governed by our Cancellation & Refund Policy and Shipping & Delivery Policy.
7. Termination & Suspension
HCI Talks reserves the right to suspend, restrict, or permanently terminate your account and access to the Platform at any time, with or without notice, for any reason including but not limited to:
- Violation of these Terms or the Acceptable Use Policy.
- Providing false, misleading, or fraudulent information during registration or thereafter.
- Conduct that is harmful to other members, the community, or the reputation of HCI Talks.
- Non-payment of applicable fees or chargebacks on completed transactions.
- Any activity that may expose HCI Talks or its members to legal liability.
Upon termination, your right to access and use the Platform ceases immediately. Any fees already paid are non-refundable unless otherwise required by applicable law. We may retain your data as required for legal compliance, dispute resolution, or enforcement of these Terms.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- HCI Talks and Talpro India Private Limited, including their directors, officers, employees, agents, and affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunities, or goodwill — arising out of or in connection with your use of or inability to use the Platform.
- Our total aggregate liability for any claim arising under or related to these Terms shall not exceed the amount actually paid by you to HCI Talks in the twelve (12) months immediately preceding the event giving rise to the claim.
- The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, reliability, or availability of the Platform or its content.
9. Indemnification
You agree to indemnify, defend, and hold harmless Talpro India Private Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of or access to the Platform.
- Your violation of these Terms or any applicable law or regulation.
- Any content you submit, post, or share on the Platform.
- Your infringement of any third-party intellectual property or other rights.
- Any dispute between you and another member of the Platform.
This indemnification obligation shall survive the termination of your account and these Terms.
10. Dispute Resolution
Informal Resolution: Before initiating formal proceedings, you agree to first contact us at [email protected] to attempt to resolve any dispute informally within thirty (30) days.
Arbitration: If the dispute cannot be resolved informally, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Bengaluru, Karnataka, India. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.
Class Action Waiver: All disputes shall be resolved on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding.
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law provisions. Subject to the arbitration clause above, the courts of competent jurisdiction in Bengaluru, Karnataka, India shall have exclusive jurisdiction over any legal proceedings arising out of or relating to these Terms.
12. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' prior notice through one or more of the following methods:
- Email notification to the address associated with your account.
- A prominent notice on the Platform.
- An in-app notification upon your next login.
Your continued use of HCI Talks after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of the Platform and contact us to close your account.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy, Cancellation & Refund Policy, Shipping & Delivery Policy, and Cookie Policy, constitute the entire agreement between you and Talpro India Private Limited with respect to your use of HCI Talks, superseding all prior agreements, understandings, and communications.
